Welcome to Dinosorbs.com (the “Site”), which is owned and operated by Mesozoic, LLC (“Mesozoic,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of the Site, including any orders, inquiries, communications, and services offered through it.

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Business Use Only

Dinosorbs.com is intended for business, wholesale, distributor, and reseller inquiries and transactions. By using this Site or placing an order, you represent that you are acting on behalf of a business or other commercial entity and have authority to bind that entity.

We reserve the right to refuse service, terminate accounts, or reject orders at our sole discretion.

2. Eligibility

You must be at least 18 years old and legally able to enter into binding contracts to use this Site. If you use the Site on behalf of a company or organization, you represent that you have authority to act on its behalf.

3. Product Information

We make reasonable efforts to ensure that product descriptions, specifications, availability, pricing, packaging, and other content on the Site are accurate. However:

    • all product information is subject to change without notice;
    • images, colors, and packaging may vary from actual products;
    • product availability is not guaranteed;
    • we do not warrant that product descriptions or other Site content are complete, current, or error-free.

Products displayed on the Site are offered subject to availability and our acceptance of your order.

4. Wholesale Orders and Acceptance

Submission of an order, purchase request, quote request, or inquiry through the Site does not constitute acceptance by Mesozoic, LLC. All orders are subject to review and written acceptance by us.

We may, in our sole discretion:

    • accept or reject any order;
    • limit quantities;
    • require minimum order quantities;
    • require resale or business verification;
    • impose territory, channel, or account restrictions;
    • discontinue products at any time.

A contract for sale is formed only when we confirm acceptance of your order.

5. Pricing

All prices listed or quoted are subject to change without notice unless otherwise agreed in writing. Prices do not include, unless expressly stated:

    • shipping and handling;
    • taxes, duties, tariffs, or customs fees;
    • insurance;
    • storage or special handling fees.

You are responsible for all applicable taxes and government charges unless you provide valid exemption documentation acceptable to us.

6. Payment Terms

Payment terms are as specified in the applicable invoice, quote, credit agreement, or other written agreement. We may require prepayment, deposits, or approved credit terms before shipment.

If payment is not made when due, we may, in addition to any other rights we have:

    • suspend performance or shipment;
    • cancel pending orders;
    • charge interest or late fees to the maximum extent permitted by law;
    • recover reasonable collection costs, including attorneys’ fees where permitted.

7. Shipping, Delivery, and Risk of Loss

Shipping dates are estimates only unless expressly guaranteed in writing. We are not liable for delays caused by carriers, supply chain disruptions, force majeure events, customs, or other events outside our reasonable control.

Unless otherwise agreed in writing:

    • risk of loss and title pass to buyer upon delivery to the carrier or as otherwise stated in the applicable invoice or shipping terms;
    • buyer is responsible for inspecting all shipments promptly upon receipt;
    • claims for shortages, damage, or incorrect shipments must be reported to us in writing within [5] business days of delivery.

8. Returns, Refunds, and Cancellations

Wholesale sales are generally final unless otherwise agreed by us in writing.

No returns, refunds, credits, or cancellations will be accepted without our prior written authorization. Authorized returns may be subject to:

    • return merchandise authorization requirements;
    • restocking fees;
    • inspection upon receipt;
    • resaleability conditions;
    • time limits for return.

Custom, private-label, promotional, clearance, or special-order items are non-cancelable and non-returnable unless required by law or approved by us in writing.

9. Resale and Distribution Restrictions

If you purchase products from us for resale or distribution, you agree to comply with all applicable laws and any resale, channel, marketplace, branding, territorial, or marketing restrictions communicated by us in writing.

You may not misrepresent our products, branding, performance, origin, certifications, or intended use. Unauthorized resale on third-party marketplaces may be prohibited.

10. Intellectual Property

All content on the Site, including text, graphics, logos, product names, trademarks, images, videos, software, and design elements, is owned by or licensed to Mesozoic, LLC and is protected by intellectual property laws.

Your use of the Site does not grant you any ownership or license rights except for the limited right to access and use the Site for legitimate business purposes. You may not:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL PRODUCTS, CONTENT, AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

MESOZOIC, LLC DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT BE DISCLAIMED UNDER APPLICABLE LAW.

Any product warranties, if any, are limited to those expressly provided in writing by Mesozoic, LLC or the applicable manufacturer.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MESOZOIC, LLC AND ITS OFFICERS, MANAGERS, MEMBERS, EMPLOYEES, AFFILIATES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE, THE PRODUCTS, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE, PRODUCTS, OR THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SPECIFIC PRODUCTS GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to defend, indemnify, and hold harmless Mesozoic, LLC and its affiliates, officers, managers, members, employees, agents, and representatives from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

    • your use of the Site;
    • your breach of these Terms;
    • your violation of applicable law;
    • your resale, marketing, or distribution of products;
    • your negligence, misconduct, or misrepresentations.

15. Compliance with Laws

You agree to comply with all applicable federal, state, local, and international laws and regulations in connection with your use of the Site, purchase of products, and resale or distribution activities.

You are responsible for obtaining any licenses, permits, or approvals required for your business and your intended use or resale of products.

16. Privacy

Your use of the Site is also subject to our Privacy Policy, which is incorporated into these Terms by reference. If a Privacy Policy is posted on the Site, please review it carefully.

17. Third-Party Links

18. Force Majeure

Mesozoic, LLC shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, labor disputes, war, terrorism, epidemics, supply shortages, transportation delays, governmental actions, utility failures, cyber incidents, or carrier disruptions.

19. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to conflict of laws principles.

These Terms, together with any applicable invoice, quote, credit agreement, reseller agreement, distribution agreement, and Privacy Policy, constitute the entire agreement between you and Mesozoic, LLC regarding the Site and supersede prior discussions or understandings relating to that subject matter.
